Terms of Service

1. Acceptance of Terms

By creating an account, accessing the MangaSendr web application ("Web App"), downloading or using the MangaSendr desktop application ("Desktop App"), or accessing any of our services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

By checking the agreement checkbox during account registration, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. This affirmative consent is a condition of account creation.

2. Nature of the Service

MangaSendr is a neutral technical utility designed for the management, formatting, conversion, and delivery of digital files. It is comparable in function to a web browser, file format converter, or email client. MangaSendr processes user-initiated instructions to fetch, format, and deliver digital content to the user's designated devices.

MangaSendr does not control, curate, recommend, index, or endorse any content that users choose to access or process through the Service. The Service does not operate as a publisher, distributor, content aggregator, or content hosting platform.

The "External Sources" or "Web Support" features function as a user-directed, browser-like interface. MangaSendr merely executes HTTP requests at the user's explicit direction and instruction. All decisions regarding which content to access, process, or deliver are made solely by the user.

3. License Grant

MangaSendr grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms. A single subscription grants access to both the Web App and the Desktop App. This license is for the sole purpose of enabling you to use the Service as provided by MangaSendr, in the manner permitted by these Terms.

4. Restrictions on Use

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Service.
• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Service.
• Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of MangaSendr or its affiliates, partners, suppliers, or the licensors of the Service.
• Use the Service to process, convert, or distribute any content for which you do not have the legal right or permission to do so.

5. Content Rights, User Warranty, and Responsibility for Content Sources

MangaSendr is a technical utility designed for the management, formatting, and conversion of digital files. By using the Service, you represent and warrant that:

• You are the legal owner of the content you process using the Service, or you have obtained the necessary licenses or permissions to use such content.
• The content consists of "free of use" or public domain material.
• Your use of the Service does not infringe upon the intellectual property rights of any third party.
• Each URL you provide to the Service points to content you have the legal right to access, download, and convert under applicable law.

You are solely responsible for all URLs you input and all content you access, retrieve, or process through the Service. MangaSendr does not verify, validate, monitor, or control the legality, accuracy, or copyright status of any user-provided URLs or the content found at those URLs.

You acknowledge that you are solely responsible for compliance with any laws, rules, or regulations applicable to the content you process, including but not limited to copyright law, intellectual property law, and the terms of service of any third-party websites you direct the Service to access.

6. No Hosting, No Agency, No Facilitation

MangaSendr does not host, index, or provide any manga titles or other copyrighted material. We do not condone, facilitate, or encourage the consumption of unlawful or unauthorized distributions of copyrighted works.

The "External Sources" or "Web Support" features are provided as a browser-like interface for the convenience of the user. MangaSendr has no control over the content of third-party websites and is not responsible for the legality of content hosted on or provided by such websites.

MangaSendr does not act as the agent, distributor, or publisher of any content. Fetching content at a user's request does not create a principal-agent, publisher-distributor, or licensor-licensee relationship between MangaSendr and any content provider. MangaSendr exercises no editorial control over, and has no prior knowledge of, the specific content a user chooses to process through the Service.

7. Copyright Policy

MangaSendr respects the intellectual property rights of others and expects its users to do the same.

Reporting Copyright Infringement

If you believe that content processed through MangaSendr infringes your copyright, you may submit a notification to our designated copyright agent at contact@mangasendr.com. Your notification must include:

• Identification of the copyrighted work claimed to be infringed.
• Identification of the material or activity that is alleged to be infringing, with sufficient detail to allow us to locate or identify it.
• Your contact information (name, address, telephone number, email).
• A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.
• Your physical or electronic signature.

Counter-Notification

If you believe that material was removed or disabled by mistake or misidentification, you may submit a counter-notification to the same address with the required information under applicable law.

Repeat Infringer Policy

MangaSendr reserves the right to terminate the accounts of users who are determined to be repeat infringers of third-party copyrights, in its sole discretion.

8. Intellectual Property

The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights are, and shall remain, the sole and exclusive property of MangaSendr.

9. Subscriptions, Payments, and Refunds

MangaSendr offers a free tier (limited deliveries) and paid subscription plans (Monthly and Yearly). A subscription unlocks unlimited deliveries and full access to both the Web App and Desktop App.

• Free Tier: Includes a limited number of deliveries. Your account, library, sources, and settings are preserved regardless of subscription status.
• Billing: Subscriptions are billed through Stripe. By subscribing, you authorize recurring charges at the selected interval until you cancel.
• Cancellation: You may cancel your subscription at any time from your account settings. Access continues until the end of the current billing period.
• Refund Policy: Monthly plans may be cancelled anytime with no refund for the current period. Contact support for refund requests.

10. Disclaimer of Warranty

The Software is provided "AS IS", without warranty of any kind, express or implied. MangaSendr explicitly disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or uninterrupted. Use of the Service to access third-party content is at your own risk.

11. Limitation of Liability and Indemnification

In no event shall MangaSendr be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of the use of or inability to use the Service. In no event shall MangaSendr's aggregate liability to you exceed the total amount you paid to MangaSendr for the Service in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless MangaSendr and its creators, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:

• Your use of the Service, including any content you access, retrieve, process, or deliver through the Service.
• Content accessed via URLs you provided to the Service.
• Any alleged copyright or intellectual property infringement related to content you processed through the Service.
• Your violation of these Terms or any applicable law or regulation.
• Your violation of any third-party terms of service in connection with your use of the Service.

12. Third-Party Services

The Software may display, include, or make available third-party content or provide links to third-party websites or services ("Third-Party Services"). You acknowledge and agree that MangaSendr shall not be responsible for any Third-Party Services, including their accuracy, copyright compliance, legality, or any other aspect thereof. Accessing such services is solely at your own choice and risk.

13. Account Termination

MangaSendr may suspend or terminate your account and access to the Service at any time, with or without prior notice, for conduct that MangaSendr believes, in its sole discretion, violates these Terms, is harmful to other users or third parties, or is harmful to MangaSendr.

Without limiting the foregoing, accounts that are found to be used for systematic or repeated copyright infringement may be terminated immediately without notice.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5, 6, 7, 8, 10, 11, and 14.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Where applicable, the mandatory consumer protection provisions of the European Union shall apply.

In the event of any dispute arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute informally by contacting contact@mangasendr.com. If the dispute is not resolved within thirty (30) days, either party may pursue formal proceedings.

You agree that any claims relating to these Terms or the Service shall be resolved on an individual basis and shall not be brought as part of any class, consolidated, or representative action.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
